All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing English Law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

We are committed to protecting your privacy. Authorized employees within the company on a need to know basis only use any information collected from individual customers. We constantly review our systems and data to ensure the best possible service to our customers.
Exclusions and Limitations

Orders
All orders placed by Buyer are subject to acceptance by Seller. Orders may not be cancelled or rescheduled without Seller’s written consent.
Prices
Prices are subject to change without notice. Pricing for undelivered Product may be increased in the event of any increase in Seller’s cost, change in market conditions or any other causes beyond Seller’s reasonable control. Price quotations, unless otherwise stated, shall automatically expire thirty (30) calendar days from the date issued and may be cancelled or amended within that period upon notice to Buyer.
Payment
Credit Cards, are acceptable methods of payment. Our Terms are payment in full at purchase.
Cancellation Policy
Digital orders can not be cancelled. All other orders must be cancelled before 1:00pm Eastern Daylight Time Zone. Notification for instance, via email will be accepted subject to confirmation. We reserve the right to levy a $20 charge to cover any subsequent administrative expenses.
Termination of Agreements and Refunds Policy
Both the Client and ourselves have the right to terminate any Services Agreement for any reason, including the ending of services that are already under-way. No refunds shall be offered, where a Service is deemed to have begun and is, for all intents and purposes, under-way. Any monies that have been paid to us which constitute payment in respect of the provision of unused Services, shall be refunded.
Availability
You are solely responsible for evaluating the fitness for a particular purpose of any products or text available through this site. Redistribution or republication of any part of this site or its content is prohibited, including such by framing or other similar or any other means, without the express written consent of the Company. The Company does not warrant that the service from this site will be uninterrupted, timely or error free, although it is provided to the best ability. By using this service you thereby indemnify this Company, its employees, agents and affiliates against any loss or damage, in whatever manner, howsoever caused.
Return of Goods
We are not obligated to accept any return of goods. If a return is accepted, a restocking charge of 25% may be applied. Items for return must be in new and unused condition. Any opened, altered or re-packaged products will be refused and sent back freight collect. Returns must be made within 15 days of the date of the original invoice with a copy enclosed and a Returned Goods Authorizing (RGA) number. No RGA will be issued for discontinued, obsolete or special ordered items. Returns must be shipped pre-paid, as we will not accept any collect shipments
Warranty
We do not warranty items sold. Manufacturers supply their own warranties and guarantees and most of these do not permit a Distributor to make adjustments, replace parts or accept for return or exchange defective or unsatisfactory items. Please follow the instructions provided by the manufacturer. Damages arising from the design or manufacturing of any product is the sole responsibility of the manufacturer.
Dispute Resolution – Canada
The validity, interpretation and performance of this Agreement for all Products delivered to or in Canada, and construed in accordance with the laws of Ontario, without giving effect to conflict of laws principles. Both parties agree that any action, demand, claim or counterclaim relating to the terms and provisions of this Agreement, or to any claimed breach, shall be commenced in a court of competent jurisdiction in the judicial district of Kawartha Lakes, Ontario, and both parties expressly acknowledge that personal jurisdiction and venue shall lie exclusively and is properly in Kawartha Lakes, Ontario. With respect to all disputes, the provisions of the United Nations Convention on Contracts for the International Sale of Goods 1980 (as amended, replaced or codified from time to time) shall not apply.
Force Majeure
Force Majeure: Seller shall not be liable for its inability to secure sufficient quantities of any Product or failure to deliver due to causes beyond Seller’s reasonable control including, but not limited to, acts of God, natural or artificial disaster, riot, war, strike, delay by carrier, shortage of Product, acts or omissions of other parties, acts or omissions of civil or military authority, Government priorities, changes in law, material shortages, fire, strikes, floods, epidemics, quarantine restrictions, acts of terrorism, delays in transportation or inability to obtain labor, materials or Products through its regular sources, which shall be considered as an event of force majeure excusing Seller from performance and barring remedies for non-performance. In an event of force majeure condition, the Seller’s time for performance shall be extended for a period equal to the time lost as a consequence of the force majeure condition without subjecting Seller to any liability or penalty. Seller may, at its option, cancel the remaining performance, without any liability or penalty, by giving notice of such cancellation to Buyer.
